Terms of Sale: Clipping Campaigns

Last updated: October 9, 2026

These Terms of Sale apply to every clipping campaign sold by Awilix LLC ("SoClipping", "we") to a professional client (the "Client"). They complete the Terms of Service. A confirmed quote, these Terms and, where signed, a confidentiality agreement form the contract. In case of conflict, the confirmed quote prevails, then these Terms.

Campaigns are sold to businesses and professional creators. If you buy as a consumer, the mandatory rules of your country apply in addition.

1. The service

A clipping campaign consists of: watching the source content the Client provides; cutting it into unique native short clips; publishing those clips through our editors and our network of selected independent clippers, on social accounts in the Client's niche and on the platforms the Client has validated; tracking every post; verifying views; and reporting the results in a dedicated dashboard.

Every campaign is built on a written quote that states at least: the source content, the platforms, the target markets and languages, the number of clips or waves, the guaranteed minimum of verified views, the creation fee, the distribution budget and its verified cost per 1,000 views (CPM), the deliverables and the planned timing.

2. Quote, order and confirmation

A quote is issued free of charge, usually within one business day of receiving one link to the content and the campaign details. It is valid for 30 days unless stated otherwise. It is an estimate until confirmed.

The order is confirmed when the Client accepts the quote in writing (email is sufficient) and the campaign invoice is paid in full. No clip is cut and no campaign is launched before that. Changes requested after confirmation (new source, new platforms, higher views target) are quoted separately.

3. Prices and payment

Prices are in US dollars, exclusive of any tax, duty or bank charge that may apply in the Client's country, which the Client bears. A campaign is made of a flat creation fee and a distribution budget priced at a verified CPM, both stated in the quote. Campaigns start at the minimum stated on the Site at the time of the quote.

The campaign is paid in full before launch. The full campaign amount (creation fee and distribution budget) is invoiced at confirmation and payable by bank transfer or by card; no clip is cut and nothing is published before the payment is received. Recurring programs are invoiced per period, each period being paid before it starts. An invoice unpaid at its due date simply postpones the launch; amounts remaining due after a campaign has started bear interest at 1% per month (or the legal maximum if lower) plus reasonable collection costs.

4. What the Client provides

The Client provides the source content (links or files), the brief (expected description, mentions, hashtags, what is forbidden, call to action) and, when needed, the brand elements. The Client names the platforms the clips may be published on.

The Client warrants that it owns or has cleared every right in the source content (copyright, music, trademarks, image and personality rights of people appearing in it, rights of any co-producer) for the clips to be produced, published and reposted as described in these Terms, and that the content complies with the law and the rules of the platforms. The Client indemnifies SoClipping and the clippers against any claim arising from the source content or the brief.

Delays in providing content or validating the clip list push the planned timing accordingly.

5. How we deliver

  • Unique clips. Each clipper publishes their own edit; no file is posted twice across the campaign.
  • Niche accounts. Clips are published on accounts whose audience matches the Client's niche, on the validated platforms, in the target markets and languages.
  • Disclosed posts. Clippers disclose the commercial partnership where the law or the platform requires it.
  • Review. Every clip is checked by our team before it counts: brief, platform rules, uniqueness, account.
  • First clips are usually live within two business days of the Client's validation of the clip list.

SoClipping chooses and manages the clippers. The Client does not contact, instruct or pay clippers directly; every request goes through SoClipping.

6. Verified views and the guaranteed minimum

A verified view is a view of a published clip read on the platform's own counters 72 hours after posting, excluding views we identify as artificial (bots, bought traffic, spam), weighted by the share of the clip's audience located in the campaign's target markets as reported by the platform's audience data. Only verified views count toward the campaign.

The quote states a guaranteed minimum of verified views. If, at the end date of the campaign stated in the quote, the verified views delivered are below that minimum, we refund the Client in proportion to the missing views: the refund equals the campaign price multiplied by the share of the guaranteed minimum that was not delivered (for example, 80% of the minimum delivered means 20% of the campaign price refunded). The refund is calculated on the end-of-campaign report and paid within 30 days to the original payment method. Instead of the refund, the Client may ask us in writing to keep producing and publishing clips, at no extra cost, until the minimum is reached.

The pro rata refund is the Client's sole remedy for a shortfall of views; it does not give rise to damages, except where the shortfall is caused by our proven failure to perform.

The guarantee is suspended for as long as the Client withholds content, validations or payment, and does not apply if the Client asks us to stop the campaign, removes or restricts the source content, or if a platform removes clips for reasons attributable to the source content.

Views, likes, comments, audience and engagement beyond the verified views are reported for information and are not guaranteed.

7. Dashboard and reporting

The Client gets access to a dashboard listing every clip, every account and the counters as the campaign runs, and an end-of-campaign report with the raw data. Reports are kept available for at least 12 months after the end of the campaign.

8. Rights on the clips

The source content stays the Client's property. The Client grants SoClipping and the clippers a non-exclusive, worldwide licence to use it only to produce, publish, track and report the clips of the campaign.

Clippers keep the rights on their editing work and grant the Client and SoClipping a non-exclusive, worldwide, royalty-free right to share, repost, embed and use the published clips and their performance data for the campaign, its reporting and the Client's own channels, for the whole legal duration of those rights. Clippers keep their clips online for at least 90 days after posting unless the Client or SoClipping asks for removal; the Client can ask for the removal of any clip at any time.

SoClipping may cite the campaign (brand name, anonymized figures) as a reference unless the Client objects in writing or a confidentiality agreement is in place.

9. Cancellation

The Client may cancel a campaign in writing at any time. Work already performed (creation fee, clips produced, views already delivered and the clipper payouts committed by reservations) is due and not refundable; any unused part of the distribution budget not yet committed to clippers is refunded or credited within 30 days. Recurring programs may be stopped at the end of the current period with 15 days' notice.

SoClipping may end a campaign if the Client breaches these Terms, provides unlawful content or fails to pay. We may also decline, before confirmation, any content we consider incompatible with our network or the platforms' rules.

10. Confidentiality

Each party keeps the other's non-public information confidential (unreleased content, prices, strategy, results) and uses it only for the campaign. A separate confidentiality agreement can be signed on request and prevails on its subject. Clippers are bound by confidentiality through their agreement with SoClipping.

11. Liability

Our obligations under a campaign are obligations of means, except the guaranteed minimum of verified views, which is handled exclusively as described in section 6. We are not liable for the platforms' decisions (reach, removal, suspension, changes of rules or metrics), for the content of comments, or for results beyond the verified views.

To the fullest extent permitted by law, our total liability toward the Client for a campaign is limited to the amount paid for that campaign, and we are not liable for indirect damages (lost profits, loss of business, reputational harm). Nothing limits liability for fraud, wilful misconduct or any liability that cannot be limited by law.

12. Data

Personal data exchanged for a campaign (contacts, billing data) is processed as described in the Privacy Policy. Where the Client sends personal data of third parties in the source content, the Client is responsible for the lawfulness of that disclosure.

13. Governing law and disputes

These Terms are governed by the laws of the State of Wyoming, United States. The parties try to settle any dispute amicably within 30 days of written notice; failing that, the competent courts of Wyoming have jurisdiction, unless mandatory rules applicable to the Client provide otherwise.
